Summary: Examines the major areas in which there is need for reform to meet the challenges of the 1990s and beyond. Classifies the areas of reform under the following headings: (1) simplification of company formation; (2) liberalization of the capacity and powers of companies for the protection of legitimate interests; (3) strengthening of shareholder democracy versus directors' control in order to secure a greater measure of accountability of management; (4) protection of minorities in the context of majority rule.
